Terms of Service

Overview

These Terms of Service govern the relationship between Digital Nanban ("we", "us", "the studio") and clients ("you", "the client") who engage us for web development, mobile app development, SEO, or related digital services. By commissioning a project, you agree to these terms.

Project agreement

Every project begins with a written scope — shared via WhatsApp, email, or a formal proposal. This scope defines the deliverables, timeline, and price. Changes to scope after sign-off may affect the timeline and price; we will always communicate this before proceeding.

Work begins after receipt of the advance payment (see Payment Terms below).

Payment terms

• Advance: 50% of the agreed project price is due before work begins.
• Final payment: The remaining 50% is due upon project completion, before final files and credentials are handed over.
• Accepted methods: UPI, bank transfer (NEFT/IMPS/RTGS), and international wire transfer. We do not accept cash for remote projects.
• Late payment: If the final payment is not received within 14 days of completion, we reserve the right to suspend access to deliverables until payment is cleared.

Intellectual property & ownership

Full IP ownership transfers to the client upon receipt of final payment. This includes all source code, design files, and associated assets created specifically for the project.

Third-party libraries, frameworks, fonts, and tools used in the project remain subject to their own open-source or commercial licences — we will document these clearly in the handover notes.

Until final payment is received, Digital Nanban retains all rights to the work. We may display completed projects in our portfolio unless you specifically request otherwise in writing.

Revisions

• Each project includes 2 rounds of revisions within the agreed scope at no extra charge.
• Revisions that require changes to scope, add new features, or require significant rework will be quoted separately.
• Revisions must be requested within 14 days of the final delivery. After this window, additional work is treated as a new project.

Client responsibilities

To deliver on time, we need you to:

• Provide content (text, images, logos) by the agreed date. Delays in content will push the timeline accordingly.
• Respond to questions and review requests within a reasonable timeframe (typically 48 hours on working days).
• Ensure you have rights to use all content you provide to us.

Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the project. We will not disclose your project details, pricing, or business data to any third party without your consent.

Limitation of liability

Digital Nanban's liability is limited to the total amount paid for the project. We are not liable for indirect losses, lost revenue, or consequential damages arising from the use or inability to use the delivered work.

We are not responsible for issues arising from third-party hosting providers, domain registrars, or payment gateways after handover.

Governing law

These terms are governed by the laws of India. Any disputes will be subject to the jurisdiction of courts in Chennai, Tamil Nadu.
